SPONSOR: The Sponsor of the OZIUM® Clear the Air Sweepstakes (the “Sweepstakes”) is Ozium Holdings, LLC, located at 5949 Sherry Lane, Suite 540, Dallas, TX 75225 (“Sponsor” or “Ozium”).

ELIGIBILITY: This Sweepstakes is open to legal residents of the fifty (50) United States, and the District of Columbia, who are twenty-one (21) years of age or older at the time of Entry (each an “Entrant”). Void where prohibited, taxed, or restricted by law. Employees, officers, directors, shareholders, agents, and representatives of Sponsor, Don Jagoda Associates, Inc. (“Sweepstakes Administrator”), and their respective parents, subsidiaries, affiliates, divisions, advertising, and Sweepstakes and/or fulfillment agencies (collectively, the “Released Parties”) and the immediate families (spouse and parents, step-parents, children, step-children, siblings, grandparents, and their respective spouses, regardless of where they reside) and/or those living in the same household of any such individual, whether or not related, are not eligible to participate in this Sweepstakes.

SWEEPSTAKES PERIOD: The Sweepstakes begins on or about 12:00AM Eastern Time (“ET”) on December 3, 2024, and ends at 11:59PM on January 8, 2025 (“Sweepstakes Period”) and it includes a total of three (3) separate, non-consecutive entry periods as indicated in the chart below (each, an “Entry Period” and collectively “Entry Periods”). Sweepstakes Administrator’s database clock is the official timekeeping device for the Sweepstakes.

HOW TO ENTER: Entrants may enter the Sweepstakes during an Entry Period.  To receive one (1) primary entry into the Sweepstakes ("Primary Entry"), an Entrant should open the Gleam platform at gleam.io and complete and submit an online registration form as directed by providing their first name, last name, valid email address, and phone number. Limit one (1) Primary Entry per person for the Sweepstakes. After submitting their Primary Entry, and during the same Entry Period or a different Entry Period, an Entrant may follow the onscreen instructions to complete the following actions to earn additional entries for the Sweepstakes (“Additional Sweepstakes Entries”), as follows:

Sponsor reserves the right to disqualify an Entrant for posting of offensive and/or inappropriate content.

Hereinafter, Primary Entries and Additional Sweepstakes Entries are collectively referred to as an “Entry” or “Entries”). LIMIT ONE (1) PRIMARY ENTRY AND UP TO THREE (3) ADDITIONAL SWEEPSTAKES ENTRIES PER ENTRANT FOR THE ENTIRE SWEEPSTAKES PERIOD, AS BROKEN OUT ABOVE.  Non-winning Entries from an Entry Period automatically roll over to the next Entry Period, as applicable.

In the event of a dispute as to the identity of an Entrant, the Entry will be declared made by the “Authorized Account Holder” of the e-mail address provided at the time of Entry and he/she must comply with the Official Rules. The “Authorized Account Holder” is defined as the natural person to whom the applicable service provider has assigned the e-mail address. Any attempt by any Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that Entrant's Entries, and that Entrant may be disqualified. Use of automated Entry or similar devices to participate or subvert the Entry process is prohibited, and all Entries submitted through such devices are void. All Entries become the property of the Sponsor upon submission and will not be acknowledged or returned and the Sponsor has the right to dispose of the Entries at Sponsor’s discretion. If you use a mobile device to enter this Sweepstakes, message and data rates may apply, and Entrants will be solely responsible for any and all applicable charges. Please consult your wireless-service provider regarding its pricing plans. By submitting an Entry, each Entrant agrees to abide by the terms of these Official Rules, the decisions of the Sponsor which are final and binding in all matters relating to this Sweepstakes, and agrees to Ozium’s Privacy HYPERLINK "https://ozium.com/policies/privacy-policy"Policy. ALL ENTRIES MUST BE RECEIVED BY 11:59PM ET ON JANUARY 8th, 2025 TO BE ELIGIBLE FOR THE FINAL ENTRY PERIOD.

SWEEPSTAKES PRIZE WINNER SELECTION/RANDOM DRAWINGS: One (1) potential Grand Prize winner will be selected per Entry Period [three (3) winners total] in separate random drawings from among all eligible Entries received by the end of each Entry Period through the use of Sweepstakes Administrator’s proprietary computerized random generator system. The random drawings will be conducted on or about 1 to 2 business days following the end of each Entry Period by Sweepstakes Administrator, an independent judging organization. Odds of winning a prize depend on the number of eligible Entries received by the end of each Entry Period. Non-winning Entries from each Entry Period will be included in any subsequent Entry Period(s)’ drawing(s). Entrants agree to be bound by the decisions of the Sponsor and the Sweepstakes Administrator, which are final and binding on all matters pertaining to the Sweepstakes.

PRIZES AND THEIR APPROXIMATE RETAIL VALUES (“ARV”):

TOTAL ARV OF ALL PRIZES AVAILABLE TO BE AWARDED: $20,599.

NOTIFICATIONS/LIMITATIONS: Potential winners will be notified by the Sweepstakes Administrator via email to the email address provided at the time of Entry.  In order to be declared an official prize winner in the Sweepstakes, each potential prize winner is subject to verification of eligibility and compliance with these Official Rules, and potential Entry Period 1 winners will be required to complete and return in the timeframe specified, an Address/Eligibility Verification Form (“Form”), and potential Entry Period 2 and 3 winners will be required to complete and return in the timeframe specified, a Declaration of Eligibility/Release of Liability/Publicity Release, where legal (“Declaration”) . If a potential winner fails to return the completed Form or Declaration within the timeframe specified or the Form or Declaration is/are returned as undeliverable, Entrant shall be deemed ineligible, the prize will be forfeited, and an alternate potential winner will be selected in the manner described above. Forms/Declarations will be sent via email. Return of any prize or prize notification as undeliverable may result in disqualification and selection of an alternate potential winner in the manner described above. If an Entrant is disqualified for one of the reasons mentioned above and an alternate potential winner is selected, the alternate must complete and return the required documents in the timeframe specified. Each potential winner is subject to verification by Sponsor/Sweepstakes Administrator before his/her/their prize will be awarded. An Entrant is not a winner of a prize unless and until entrant's eligibility and compliance with these Official Rules have been verified and Entrant has been notified that verification is complete. Sponsor is not responsible for fraudulent calls or emails made to Entrants or prize winners not by Sponsor or Sweepstakes Administrator. The Internal Revenue Service requires Form 1099-MISC to be issued and filed for any recipient who receives a prize if the annual aggregate value of the prize received is $600 or more. Confirmed Entry Period 2 and 3 winners will be required to provide the Sponsor with their Social Security number for tax purposes and will receive an IRS Form 1099-MISC for the ARV of their prizes.

The Entry Periods 2 and 3 winners will be required to complete and submit additional documents (see below). Entry Periods 2 and 3 winners will not be official confirmed prize winners until all required documentation has been returned, and eligibility has been formally verified.

WAIVER OF LIABILITY AND RELEASE: By participating in the Sweepstakes and submitting an Entry, each Entrant waives, discharges, and fully releases the Released Parties, and the officers, directors, shareholders, agents and representatives of each from any and all liability, injury, damage or loss that may occur, directly or indirectly, in whole or in part, from or in connection with participation in the Sweepstakes or if confirmed a winner (or accompanying winner on trip) from the receipt or use of any prize or from any activity related to the receipt or use of any prize (including any travel or activity related thereto). By receipt of any prize, each prize winner/travel companion agrees to release and hold harmless the Released Parties from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize (including any travel or activity related thereto).

FORCE MAJEURE: In the event an insufficient number of eligible Entries are received for any Entry Period and/or Sponsor is prevented from awarding any prizes or continuing with this Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health or other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state or local government law, order, regulation, or guideline, public health crisis (e.g., Coronavirus), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then Sponsor shall have the right to modify, suspend, or terminate this Sweepstakes. If this Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the potential Sweepstakes winners in random drawings from all eligible, non-suspect Entries received for each Entry Period as of the date of the event giving rise to the termination or as otherwise deemed fair and appropriate by Sponsor prior to cancellation. Inclusion in such drawings shall be each Entrant’s sole and exclusive remedy under such circumstances. If the Sponsor determines that all or a portion of a prize is unavailable due to a Force Majeure event, then Sponsor reserves the right to substitute the prize or portion thereof with one of equal or greater value, and no other additional compensation or substitution will be provided.

LIMITATIONS OF LIABILITY: Released Parties are not responsible for stolen, late, incomplete, inaccurate, stolen, misdirected, lost, damaged, garbled, delayed, incomplete or garbled Entries or email; for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections; availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines; or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or problems of any kind whether human, mechanical, electronic, network, computer, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes the processing of Entries, the announcement of the prizes, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to Entrant's or to any other person's computer, wireless phone/smartphone or landline phone related to or resulting from participating in this Sweepstakes. Persons who tamper with or abuse any aspect of the Sweepstakes or attempt to undermine the legitimate operation of the Sweepstakes by cheating, deception or other unfair playing practices, or intend to annoy, abuse, threaten or harass any other Entrant or any representative of Sponsor and/or the Released Parties, or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Any attempt to deliberately damage the content or operation of this Sweepstakes is unlawful and subject to legal action by the Sponsor, and their respective agents. Sponsor shall have the sole right to disqualify any Entrant for violation of these Official Rules or any applicable laws relating to the Sweepstakes and to resolve all disputes in its sole discretion.

ENTRY PERIOD 2 AND 3 PRIZE TRIP RULES: All applicable taxes and all other expenses and costs not expressly listed above, including, but not limited to, airline baggage fees, taxes, tips, entertainment, transfers, and transportation to airport to and from each winner’s home residence are the winner’s sole responsibility. Travel companion of the Entry Period 2 winner must be 21+ and will be required to complete and sign a Travel Liability Waiver and Publicity Release prior to travel. Actual retail value of any trip may vary due to each winner’s residence and time of travel.  Entry Period 2 Prize winner and their travel companion must travel at the same time on same itinerary as set by Sponsor/Sweepstakes Administrator. Entry Period 2 Prize trip must be booked at least 30 days in advance and must be taken on dates specified by Sponsor so as to correlate with the surf lessons. Entry Period 3 Prize trip must be booked at least 30 days in advance and must be taken on dates specified by Sponsor so as to correlate with the guitar lessons. In the event Makua Rothman or Jimmy Messer become unable to teach the lessons on the specified date(s), an alternate instructor will be appointed to teach the lesson(s), as applicable based on prize. Certain restrictions may apply. Entry Period 2 winner and travel companion may be required to execute additional release documents as required by surfing school/surf lesson provider. Winner and if applicable, their travel companion must possess valid travel documents (i.e., valid government issued photo ID, passport, VISA, etc.) in order to travel and may need to follow any applicable COVID or other protocols applicable at time of travel. Failure to obtain required travel documents by winner may result in forfeiture of prize and alternate selection. No refunds or credit for changes are allowed. If the Entry Period 2 winner chooses to travel without the travel companion, the prize will be awarded in increments appropriate for one (1) traveler (i.e., the winner) and winner will not receive additional compensation of any kind in conjunction therewith. Airline tickets are for travel from major airport nearest winner's home to the destination city. Airline carrier's regulations and conditions apply. Seat selection and timing of trip are subject to travel. No refunds or credit for changes are allowed.

GENERAL CONDITIONS: Sweepstakes is subject to all applicable federal, state and local laws and regulations.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE SWEEPSTAKES OR TO UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; SPONSOR WILL DISQUALIFY ANY SUCH ENTRANT AND RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

DISPUTES: By entering the Sweepstakes, each Entrant agrees that (a) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes or the prizes awarded, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, and in no event will Entrant be entitled to receive attorneys' fees or other legal costs; and (c) under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrants and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Texas without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of Texas.  Any legal proceedings arising out of this Sweepstakes or relating to these Official Rules shall be instituted only in the federal or state courts located in the State of Texas, County of Dallas, and the parties’ consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

USE OF INFORMATION: Participation in the Sweepstakes constitutes consent to receiving email correspondence from Sponsor. All information submitted to Sponsor as part of this Sweepstakes will be treated in accordance with Ozium’s Privacy HYPERLINK "https://ozium.com/policies/privacy-policy"Policy which may be updated from time to time without notice.

RIGHTS RESERVED: The content, information, data, designs, and code associated with the Sweepstakes are protected by intellectual property and other laws. Any unauthorized use of copyrighted materials, trademarks, or any other intellectual property of Sponsor and/or Sweepstakes Administrator without the express written consent of its owner is strictly prohibited.
